Proper documentation is the first and foremost step to ensure while applying for company registration. Any mistake/shortfall in the documentation may cause unwanted delays and may even put all your efforts to waste.
Another important thing for you to consider is to pick the company structure wisely. Choosing an appropriate company structure will help you a long way towards meeting your desired profitability targets. The documents required for the registration of a company also vary according to the chosen company structure.
You don’t need to think too much though! In this blog, we will simplify everything for you. We will specify the documents required for all major types of company formation in India.
Here we go!
A) Documents required for forming an OPC (One Person Company)
Please keep self-attested copies of the following documents ready before proceeding to apply in this category-
- The MoA ( Memorandum of Association)
- The AoA ( Articles of Association )
- Since there are only one member and one director in an OPC, the company needs to appoint a nominee on behalf of such a person. In case the director dies or becomes incapacitated, the nominee should be able to perform on his behalf. Therefore, the consent of the director in Form INC-3 needs to be submitted by the OPC
- Aadhaar card and PAN card of the director
- Proof of address of the registered company office, along with proof of ownership. In the case of a rented office, NOC from the owner is required.
- Consent from the proposed director in Forms DIR-2 and INC-9
- An affidavit from the proposed director stating that all the necessary compliances are done
B) Documents required for forming a Sole Proprietorship Company
It is the easiest structure of company formation in India. The business remains in control of a single owner. The following documents are required to form a sole proprietorship company-
- Aadhaar card of the owner
- PAN card of the owner
- Proof of address of the registered company office, along with proof of ownership. In the case of a rented office, NOC from the owner is required.
- Bank account (current) details of the owner (canceled cheque & bank statements not more than 3 months old)
C) Documents required for partnership registration
This type of company structure has 2 or more owners who are known as partners. The following documents are required to form a partnership company-
- Partnership deed
- PAN cards of all the partners (as ID proof)
- Aadhaar card/passport/voter ID/Driving License of all the partners ( as address proof)
- PAN card in the name of the firm
- Address proof of the firm (a copy of utility bills such as electricity bill, property tax receipts, water bill, etc). In the case of a rented office, a rent agreement and a NOC from the owner is required.
D) Documents required for forming a PVT LTD Company Registration
The Government has recently launched an integrated single-window incorporation process named SPICe (Simplified Proforma for Incorporating Company Electronically). It has included processes like allotment of DIN for company directors, reservation of company name, incorporation of a new company, and allotment of PAN & TAN to the New Company.
The following documents are required for private limited company registration
1) Documents signed by company directors
- Form DIR-2 (consent to work as director)
- Details to assign DIN
- DIN declaration (If DIN is already assigned)
2) Documents signed by company shareholders
- Application for DSC
- Declaration in INC-9
3) Documents by all the directors & shareholders
a) Proof of Identity
- PAN card
- Aadhaar card/passport/voter ID/Driving License
b) Proof of address
- Utility bill (electricity bill, telephone bill, property tax receipt, water bill, etc)
- Bank passbook or bank statement (Not older than 2 months)
4) Proof of registered office address
- Valid address proof in the name of the owner (a copy of utility bill such as electricity bill, property tax receipt, water bill, etc- not older than 2 months).
- In the case of a rented office, rent agreement and a NOC from the owner.
5) Other documents
- Formal authorization/ Board resolution for use of company name/trademark
- Authorization letter (on company letterhead) for executing documents on behalf of the company.
6) Documents required for forming an LLP
The following documents are required for incorporation of an LLP (Limited Liability Partnership) Company
- PAN cards of all the partners (as ID proof)
- Aadhaar card/passport/voter ID/Driving License of all the partners (as address proof)
- PAN card in the name of the firm
- Proof of registered office address (a recent copy of utility bill such as electricity bill, property tax receipt, water bill, etc). In the case of a rented office, a rent agreement and a NOC from the owner is required.
- DSC (Digital Signature Certificate) for one of the partners designated to sign all documents digitally.
